Terms and Conditions for Pickaxe Prospectors Academy

1. Introduction & Agreement

Welcome to the Pickaxe Prospectors Academy (the "Academy"). These Terms and Conditions ("Terms") govern your purchase of, access to, and use of the online educational community, courses, content, and services (collectively, the "Services") offered by Ottomato ("we," "us," "our").

IMPORTANT DISCLAIMER: The Pickaxe Prospectors Academy is an independent community and educational service owned and operated by Ottomato. We are a third-party service provider that uses and recommends the Pickaxe platform. The Academy is not affiliated with, sponsored by, endorsed by, or in any way officially connected with Pickaxe AI Inc.

By purchasing a membership, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not purchase or use our Services.

2. The Service: Pre-Launch and Official Launch

You acknowledge that you are purchasing a membership during a "pre-launch" period. The official launch date for the Academy, when access to the community and course materials will begin, is scheduled for Monday, September 22, 2025.

We reserve the right to delay the official launch date due to unforeseen circumstances. Should a delay occur, you will be notified via the email address you provided at purchase, and the terms of the refund policy (Section 6) will be adjusted accordingly.

3. Membership, Cohorts, and Access

We reserve the right to manage the availability of the Academy, which may include opening and closing enrollment for specific cohorts or on specific dates. Your purchase grants you access to the Academy as described at the time of purchase.

4. Membership & Payments

• Billing: You will be billed for your membership (either monthly or annually) at the time of purchase through our third-party payment processors, Stripe and PayPal.

• Recurring Billing: For monthly subscriptions, you will be billed on a recurring basis until you cancel. For annual subscriptions, you will be billed for the full year upfront and will be notified before your subscription automatically renews.

• Pricing: We reserve the right to change our pricing at any time. For existing members, price changes will take effect at the start of the next billing cycle.

5. Intellectual Property

All content provided as part of the Services, including but not limited to video lessons, templates (proposals, contracts, automations), text, graphics, and course materials (the "Content"), is the exclusive intellectual property of Ottomato.

Your membership grants you a limited, non-exclusive, non-transferable license to access and use the Content for your personal and internal business use only. Commercial use, reproduction, redistribution, or resale of any Content is strictly prohibited.

6. Refund Policy

Our refund policy is strict to protect the intellectual property and value provided to our members.

• 24-Hour Window: For both monthly and annual membership purchases, you are eligible for a full refund if you request it via email within 24 hours of your initial purchase.

• No Refunds After 24 Hours: After the 24-hour window has passed, no refunds will be issued for any reason.

• Exception for Non-Launch: In the unlikely event that the Pickaxe Prospectors Academy does not officially launch at all, all pre-launch members will receive a full refund of their purchase price.

7. User Conduct & Right to Terminate Subscription

You agree to use the Services and the associated community platform responsibly. We reserve the right to terminate your membership and access to the Services, without a refund, if you engage in any of the following prohibited activities:

• Acting in a disorderly, harassing, or deceptive manner.

• Attempting to steal, copy, or redistribute our intellectual property for commercial use.

• Sharing your account login credentials with any other person.

• Spamming other members or using the community for unauthorized commercial solicitation.

We will notify you of the reason for termination should such action be necessary.

8. Affiliate Disclosures (FTC Disclosure)

We believe in transparency. Some of the links provided within the Academy are affiliate links. This means that if you click on the link and make a purchase, we may earn a commission at no additional cost to you. We only recommend tools and services that we vet and actively use in our own business.

• Pickaxe Affiliate Link: We provide an affiliate link for the Pickaxe platform. The discounts are as follows:

  • Annual Plan: You receive 20% off the annual subscription from Pickaxe, plus an additional 10% off for using our link, for a total of 30% off. We recommend the annual plan for the best value.

  • Monthly Plan: You receive 10% off the monthly subscription when using our link.

• P.S. We recommend the PRO plan instead of the "Gold" or "Free" in order for subscribers to unlock access to the advanced features needed to follow along with the instructor within the academy.

9. Limitation of Liability

The Services provided by the Academy are for educational purposes only. We make no guarantees about any financial results or business success you may achieve. You agree that Ottomato shall not be liable for any damages resulting from your use of the Services.

10. Governing Law

These Terms shall be governed by the laws of the State of Wyoming.
